Terms of Service

1. Agreement to Terms

By accessing or using The Town League platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform. The Town League is operated by The Town League ("we," "us," or "our").

2. Beta Program

The Platform is currently in beta. Features, pricing, rules, and availability are subject to change without notice. During the beta period, certain features may be incomplete, unavailable, or modified. Participation in the beta does not guarantee access to future versions of the Platform or any specific features.

3. Eligibility

You must be at least 18 years old to create an account, claim a team, or participate in competitions. By using the Platform, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms.

4. Accounts

You are responsible for maintaining the confidentiality of your account credentials. You are responsible for all activities that occur under your account. You must provide accurate and complete information when creating your account. You may not create multiple accounts. You must notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Team Ownership and Claiming

Each place (city, town, village, neighborhood, or CDP) on the Platform can be claimed by only one user at a time. Claiming a team grants you the exclusive right to manage and compete with that team on the Platform. Team ownership does not grant any real-world rights, ownership, or authority over the actual geographic place. Team names must include the official place name and must not contain offensive, discriminatory, or inappropriate language.

We reserve the right to revoke team ownership for violations of these Terms, extended inactivity, or other reasons at our discretion.

6. Competitions

Competitions are organized by The Town League and occur on a seasonal basis. Competition rules, formats, schedules, and scoring methods are determined by The Town League and may change between seasons. Participants must compete fairly and honestly. Any form of cheating, manipulation, or exploitation of Platform mechanics is prohibited.

We reserve the right to disqualify participants, void results, or modify competition outcomes if we determine that rules were violated or the integrity of competition was compromised.

7. Rosters and Team Members

Team owners may invite up to 4 additional players to their roster. Roster commitments last for the duration of a season. Players may be on multiple team rosters provided there is no league overlap. Each player must declare which team they are competing for each week. Submissions and results must be unique per team — the same performance cannot be submitted for multiple teams.

8. Fees and Payments

During the beta period, team claiming may be offered at no cost. When the Platform transitions out of beta, ownership fees and season entry fees will apply as displayed on the Platform. All fees are in US dollars. Ownership fees are one-time payments. Season entry fees are recurring per season. Fee amounts are subject to change between seasons with reasonable notice.

Season entry fees contribute to league prize pools. Prize pool distribution is determined by The Town League and published before each season begins.

9. Prize Pools and Payouts

Prize pools are funded by season entry fees and, where applicable, sponsorship contributions. Prize distribution percentages and payout schedules are published before each season. We reserve the right to withhold prizes in cases of suspected fraud, cheating, or Terms violations. Prize winners are solely responsible for any applicable taxes on winnings. We may require identity verification before issuing prize payouts.

Prizes may be awarded as cash, Platform credits, or a combination thereof, as determined by The Town League.

10. Marketplace

The Platform may include a marketplace for buying and selling teams. All marketplace transactions are subject to a platform fee (currently 10% of the transaction price). Sellers set their own asking prices. Buyers accept the listed price. We facilitate transactions but are not a party to the sale. We do not guarantee the value, future performance, or appreciation of any team. Marketplace transactions are final and non-refundable except as required by law.

11. Community Voting

Certain competitions involve community voting. Voters must vote honestly based on the merits of submissions. Organized vote manipulation, vote trading, or bot voting is prohibited. We reserve the right to invalidate votes and adjust results if manipulation is detected.

12. User Content

By submitting content to the Platform (photos, videos, text, creative works, competition submissions), you grant The Town League a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content in connection with the Platform, including for marketing and promotional purposes. You retain ownership of your original content. You represent that you have the right to submit all content you provide. You must not submit content that is illegal, offensive, infringing, or violates the rights of others.

We may remove content that violates these Terms at our discretion.

14. Intellectual Property

The Town League name, logo, brand elements, and Platform design are owned by The Town League. You may not use our trademarks, logos, or brand elements without written permission. The Platform's code, design, and content are protected by copyright and other intellectual property laws.

15. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE MAKE NO WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT ON THE PLATFORM.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOWN LEAGUE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

17. Indemnification

You agree to indemnify and hold harmless The Town League, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform, your violation of these Terms, or your violation of any rights of another party.

18. Modifications

We may update these Terms at any time. Material changes will be communicated via email or Platform notification. Continued use of the Platform after changes constitutes acceptance of the updated Terms. If you disagree with changes, your remedy is to stop using the Platform.

19. Termination

We may suspend or terminate your access to the Platform at any time for any reason, including violation of these Terms. You may delete your account at any time. Upon termination, your team ownership and associated rights are forfeited. Provisions that by their nature should survive termination will survive.

20. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes arising from these Terms or the Platform shall be resolved in the courts of New York State.

21. Dispute Resolution

Before filing any legal claim, you agree to attempt to resolve disputes informally by contacting us at legal@thetownleague.com. If a dispute cannot be resolved informally within 30 days, either party may pursue formal proceedings.

22. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
